Terms of Service

UX Signal Studio ("we", "us") is a product design studio providing UX audits, product discovery, product design and strategy, website design, and design leadership services ("Services").

Each engagement is defined in a proposal, statement of work, or order confirmation ("SOW"). If these Terms conflict with an SOW, the SOW controls for that engagement.

Retainers renew monthly and may be paused or cancelled with written notice before the next billing date. Fixed-fee engagements are scheduled on receipt of payment.

Fees are stated in the SOW and invoiced in USD unless agreed otherwise. Invoices are due on receipt. Work may be paused on accounts more than 14 days past due.

On full payment, deliverables identified in the SOW are assigned to you, excluding our pre-existing tools, frameworks, and know-how, which we license to you for use within the deliverables.

We may reference non-confidential work in our portfolio unless the SOW says otherwise.

Each party will protect the other's non-public information with at least the care it uses for its own, and use it only for the engagement.

Services are provided with reasonable skill and care. Except as stated, Services and deliverables are provided "as is" without other warranties. Design recommendations are professional judgment, not guarantees of business outcomes.

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and each party's total liability is capped at the fees paid under the applicable SOW in the 6 months before the claim.

We may update these Terms from time to time. The version on this page applies to new engagements from its "last updated" date.
